These Terms and Conditions govern the use of the website and services provided by WH Heat Source Limited (“the Company”, “we”, “us”, or “our”). By using our website or engaging our services, you agree to these Terms. If you do not agree, you must not use our services or website.


1. Definitions

Client means any individual or business engaging or enquiring about our services.
Services means equipment brokerage, sourcing, supplier introduction, installer coordination, and related advisory support for heating, plumbing, and HVAC systems.
Suppliers means third-party manufacturers, wholesalers, and distributors.
Installers means independent contractors within our network.
Agreement means any written proposal, quotation, or service confirmation issued by the Company.


2. Scope of Services

WH Heat Source Limited operates as a broker and coordinator of heating, plumbing, and HVAC equipment supply and installation services. We do not manufacture equipment and do not directly perform installation works unless explicitly stated in writing.

Our role includes sourcing equipment, introducing suppliers and installers, coordinating schedules, and supporting procurement and project communication. Final contracts for supply and installation are normally between the Client and the relevant third party.


3. Quotes and Proposals

All quotes and proposals are indicative unless expressly stated as fixed and binding. Equipment availability, pricing, and installer schedules may change due to supplier or market conditions.

Quotes are typically time-limited. Revised pricing may apply after expiry or where specifications change.


4. Client Responsibilities

The Client must provide accurate and complete information regarding:

  • Property and site conditions
  • System requirements
  • Technical specifications
  • Access constraints
  • Budget and timeline expectations

The Company is not liable for delays, cost changes, or specification errors resulting from incomplete or incorrect information supplied by the Client.


5. Third-Party Suppliers and Installers

Suppliers and installers are independent third parties. While we use reasonable care in selecting partners, the Company is not responsible for:

  • Equipment manufacturing defects
  • Installation workmanship
  • Supplier delays
  • Contractor performance

All warranties, guarantees, and service obligations are provided by the relevant supplier or installer unless otherwise stated in writing.


6. Fees and Payments

Brokerage or coordination fees will be set out in a written agreement or invoice. Payment terms must be met as stated.

We reserve the right to suspend work, coordination, or introductions where invoices remain unpaid beyond due date. Deposits may be required before sourcing or coordination begins.


7. Cancellations

If a Client cancels after work has begun, the Company may charge for time spent, sourcing work completed, and coordination activities already performed.

Orders placed with third-party suppliers may be subject to their own cancellation terms, restocking charges, or non-refundable deposits.


8. Limitation of Liability

To the fullest extent permitted by law, WH Heat Source Limited shall not be liable for:

  • Indirect or consequential losses
  • Loss of profit or revenue
  • Project delays caused by third parties
  • Installation or manufacturing faults

Total liability for direct loss arising from our services shall not exceed the total brokerage or coordination fees paid to the Company for the relevant project.

Nothing in these Terms limits liability where it cannot legally be limited.


9. Compliance and Regulatory Matters

The Client and appointed installers are responsible for ensuring that all equipment and installations comply with applicable laws, regulations, building codes, and safety standards.

We may provide general guidance, but final compliance responsibility rests with the installer and Client.


10. Data Protection and Privacy

We process personal and business data in accordance with UK data protection law, including UK GDPR and the Data Protection Act 2018.

Data is collected only as necessary to:

  • Respond to enquiries
  • Coordinate suppliers and installers
  • Manage projects and communications
  • Maintain business records

We do not sell personal data. Data may be shared with suppliers and installers where necessary for project delivery. Data subjects may request access, correction, or deletion of their personal data, subject to legal obligations.


11. Confidentiality

We treat Client project details, pricing, and specifications as confidential and will not disclose them to unrelated third parties without consent, except where required for service delivery or by law.


12. Intellectual Property

All documents, process descriptions, and materials produced by the Company remain our intellectual property unless otherwise agreed in writing. They may not be reproduced or distributed without permission.


13. Website Use

Website content is provided for general information only. We make reasonable efforts to keep information accurate but do not guarantee completeness or currency.

Users must not misuse the website, attempt unauthorised access, or introduce malicious material.


14. Force Majeure

We are not liable for failure or delay in performance caused by events beyond our reasonable control, including supply chain disruption, transport issues, labour shortages, or regulatory changes.


15. Termination

We reserve the right to refuse or terminate services where there is non-payment, misuse, abusive behaviour, or material breach of these Terms. Fees for work already performed remain payable.


16. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
